This Agreement, together with our legal notice, privacy and cookie policy (the “Policies”) set out the terms and conditions upon which Aylula Solutions Limited (registration number 13579370) whose registered office is at 57 Jordan Street, Liverpool, Merseyside, England, L1 0BW (“Appruvr” or “we” or “us“) will operate the Appruvr online qualification verification service (“the Service“) via this website (“the Website“) and with which you must comply. In the event of any conflict of ambiguity between the Agreement and the Policies, the terms of the Agreement shall prevail.

1. Registration

By registering as a user, you agree to be bound by the terms of this agreement.

1.1 In consideration for using the Service, you agree to:

  • Register for the Service as described in this paragraph 1.
  • Pay the fees due to us for the Service in accordance with the terms available on our “Pricing” page on the Website.
  • Use the Service in accordance with the Agreement and the Policies at all times.

1.2 The Service is available to businesses and individuals.

1.3 By registering as a “User”, you confirm that the information you provide is true, accurate, and complete. You also agree to inform us of any changes to your registration details.

You agree to be wholly responsible and take account for:

  • Your user name and password.
  • Anything that would assist unauthorized access or use of the Appruvr Website or Service.
  • Any creation of accounts for the purpose of abusing the functionality of the Appruvr Website or Service.
  • Any account created to Impersonate another user.

You agree that you will take sole responsibility for any activities or actions under your Appruvr account, whether or not you have authorised such activities or actions. You will notify us immediately if you become aware of any unauthorised use of your password or account identifiers by others.

To the extent permissible by law, we reserve the right, in our sole discretion, to:

  • Suspend or cancel access to the Service with immediate effect and without notice.
  • Reject, in our sole discretion, any request for registration.

2. Use of the Service

2.1 Appruvr does not guarantee that you will have continuous, uninterrupted, or secure access to the Website, within the bounds of the law.

2.2 Appruvr does not guarantee that the Website or the Service will meet your needs or expectations. The Website and the Service are provided “as is” and “as available.” Appruvr does not make any express or implied warranties, including but not limited to warranties of merchantability or fitness for a particular purpose.

2.3 Appruvr may change, modify, amend, suspend, or discontinue any aspect of the Website or the Service at any time without notice.

2.4 Appruvr may, at any time and without notice, restrict your use of certain features of the Website or the Service.

2.5 You must use the Service only for legal purposes and as per clause 7 of this agreement,  only after you have obtained the authorisation of the individual whose academic details you are verifying (“Individual”). You must not use the Service in violation of any applicable law or regulation or in breach of this Agreement.

2.6 You must not use the Website or Service in a way that could disrupt, damage, or impair the Website or Service.

2.7 Your access to the Website may be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services. Appruvr will use reasonable efforts to limit the frequency and duration of any such suspension or restriction.

2.8 You must take all reasonable precautions to minimize the risk of loss or damage when accessing the Website, including implementing prudent security and backup features.

3. Description of the Service

3.1. The Service offers you the ability to:

  • Request credential verification from any of the credential providers listed on the Website.
  • Request credential verification from credential providers not listed on the website for a predetermined fee.
  • receive results of a verification
  • receive a verifiable digital representation of your credential (credential owner)

4. Misuse of the Service

4.1. You agree not to misuse our Website or Service. Specifically, you may not do the following while accessing or using the Website or Service::

  • Use or tamper with non-public areas of Appruvr, any of Appruvr’s systems or that of Appruvr’s providers;
  • Test the vulnerability or probe and scan any aspect of Appruvr’s system or network or attempt to breach or circumvent any security or authentication measures;
  • You may not access or search Appruvr’s website, services and those of it’s partners by any means, other than the means expressely provided by Appruvr.
  • Crawling and scraping Appruvr’s Website and services is strictly prohibited without the prior consent of Appruvr;
  • Use the Service in any way to send altered, deceptive or false source-identifying information
  • You may not interfere with, disrupt, or attempt to do so, the access of any Subscriber, host, or network. This includes, but is not limited to, sending a virus, overloading, flooding, spamming, or mail-bombing the Service or Website. You may also not script the creation of content in such a manner as to interfere with or create an undue burden on the Service.

5. Services Pricing

5.1 Prices are clearly displayed on our website. All our prices include any relevant credential providers’ surcharges and are exclusive of VAT.

6. Your Purchase of Services

6.1. In the unlikely event we are unable to complete your verification and/or any other service offered by Appruvr, for reasons beyond our reasonable control we will advise you promptly. Any fee applied by Appruvr for verification and/or any other service, will still be applicable, regardless of the outcome.

7. Provision of Services

7.1. You agree that the Credential Providers maintain their own databases, and Appruvr does not control or verify the accuracy of the credential provided by credential providers. Therefore, you agree Appruvr does not hold any liability arising from or in connection with any inaccuracies or omissions provided by any third party.

7.2 All complaints about the accuracy of credential results must be made directly to the credential provider.

7.3 Appruvr may at any time withdraw a credential provider from the Service.

8. Data

8.1 All parties will implement appropriate technical and organisational security measures to protect personal information (Personal Information) in accordance with the Data Protection Act 2018 (DPA) or the UK General Data Protection Regulation (UK GDPR) and any applicable national laws or regulations.

8.2 You acknowledge that credential results may contain personal information and as the data controller, you are responsible for ensuring the protection and processing of such personal information in accordance with the Data Protection Act 2018 (DPA) and any other applicable data protection laws.

8.3 We will only process personal information in such manner as is necessary for the provision of the Service.

8.4 Personal information on our systems collected for the Provision of the Service will be deleted in accordance with the Data Protection Act 2018 (DPA) and any other applicable data protection laws.

8.5 Should we have reasonable grounds to believe during the term of this Agreement that you are accessing and using the Services not in compliance with this Agreement and the DPA or the Applicable Data Protection Laws, you agree for Appruvr or our authorised representatives to have reasonable access to your records in order to verify.

9. Intellectual Property Rights

9.1 For the purpose of this Agreement, intellectual property rights (IPRs) include patents, utility models, rights to inventions, copyright and related rights, moral rights, trademarks and service marks, business names and domain names, rights in get-up and trade dress, goodwill, the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use and protect the confidentiality of confidential information (including know-how and trade secrets), and all other IPRs, whether registered or unregistered, including applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights.

9.2 Appruvr owns or is duly licensed to use all intellectual property rights (IPRs) in the Website, the Service (including the Credential result), and all material stored, displayed, and accessible on the Website. All such rights are reserved.

9.3 Appruvr is a registered trademark. You may not use the Appruvr trademark or any other Appruvr graphics, logos, page headers, button icons, scripts, or service names in connection with any product or service that is not Appruvr’s, in a way that is likely to cause confusion about the source of the Service, or in a way that disparages or discredits Appruvr. All other trademarks that appear on the Website or in the Service that are not owned by Appruvr are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Appruvr.

9.4 Making temporary copies of material available on the Website (excluding a Credential result) is strictly limited to communicating details about Appruvr and its business activities. Republishing, storing, or reproducing any such material for the benefit of any third party or its business activities is prohibited. A Proprietary Notice must be added to any copy that is permitted.

9.5 No license or right under any copyright of Appruvr will be implied or granted by this Agreement, the Website, or any other document or communication.

10. Liability

10.1 Appruvr will not be liable for any indirect, special, incidental, or consequential losses or damages, including loss of profits, loss of business revenue, or loss of goodwill. Appruvr will also not be liable for any costs, losses, expenses, or damages arising from the use or access of, or inability to use or access, the Service, its operation or transmission, computer viruses, loss of data, loss of confidentiality, reliance on material contained on this Website (including the credential result), or otherwise.

10.2 Appruvr holds no liability for any third-party content, submitted or accessible via the Website. This includes but is not exclusive to material submitted by Users, Credential providers, or the credentials in a Credential result.

10.3 Appruvr’s total liability in any way arising out of or in connection with this Agreement will not exceed the fees that you have actually paid to Appruvr for the relevant Service.

10.4 Appruvr and each credential provider will be held harmless by you agreeing to indemnify from any and all losses, demands, claims, damages, costs, and expenses (including but not limited to consequential losses or loss of profit, legal fees, and expenses) that they may suffer or incur directly or indirectly as a result of:

  • Your use of the Website and/or Service
  • Breach of your obligations, warranties, representations, and undertakings contained as set out in this Agreement
  • You using personal information without the consent of the individual or not in accordance with the Data Protection Act 2018 or applicable data protection laws.

11. Termination

11.1 Appruvr may terminate this Agreement at any time, without notice, for any reason, and may deny access to the Service immediately without notice if you breach any provision of this Agreement. Appruvr will not be liable to you for any termination of this Agreement, and your only remedy will be to stop using the Service.

12. General

12.1 Unless expressly stated to the contrary, nothing in this Agreement is intended to confer on a person any right to enforce any term of this Agreement, which that person would not have, but for the Contract (Rights of Third Parties) Act 1999. The parties may by agreement extinguish or vary any of the provisions in this Agreement without the consent of any third party and section 2 (l) of the Contract (Rights of Third Parties) Act 1999 shall not apply. Each credential provider may be exempt for the purposes of enforcing its rights.

12.2 This Agreement is the entire agreement between the parties and supersedes all prior agreements, arrangements, statements, and understandings between the parties, except in the case of fraud or fraudulent representation by either party.

12.3 If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

12.4 Neither party will be liable for any delay or failure to perform its obligations under this Agreement if caused by events that are beyond its reasonable control.

12.5 Failure to enforce any provision of this Agreement at any time will not be considered a waiver of our rights under this Agreement. It will not affect the validity of this Agreement or our right to take action in the future.

12.6 The English courts will have exclusive jurisdiction over any disputes arising from this Agreement and/or the use of the Service and This Agreement and the use of the Service will be governed by and interpreted in accordance with the laws of England.

Appruvr does not guarantee the accuracy, timeliness, completeness, performance, or fitness for a particular purpose of the Website or any material and information available through the Website. Appruvr is not responsible for any errors, omissions, or inaccurate material or information on the Website. Appruvr does not warrant that the Website will be uninterrupted or error-free, or that any defects will be corrected. Appruvr will not be liable for any loss or damage arising out of or in connection with access to or use of the Website. However, Appruvr’s liability is limited to the extent permitted by applicable law.

3. Computer Viruses

All parties will make all reasonable efforts to prevent the introduction of computer viruses. Appruvr shall not bear any liability for any damage or interruptions caused by any computer viruses, spyware, scareware, Trojan horses, worms or other malware that may affect Client’s computer or other equipment, or any phishing, spoofing or other attack.

4. Linking

Appruvr does not endorse or control any third-party websites or their content that appear via links from the Appruvr Website and/or other materials. Any losses or damages that you may incur as a result of using these links or website content through these links is your responsibility.

Links to our Website are encouraged as long as you do so in a way that is not misleading and does not imply that Appruvr endorses or is affiliated with your website. Please notify us at info@appruvr.co.uk if you create any links to our website.

5. Governing Law

These terms are governed by and construed in accordance with English law. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the English courts.
